1. Acceptance of Terms

By accessing or using the SayNicely website (the "Service") provided by SayNicely ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, then you may not access the Service. These Terms apply to all visitors, users, and others who access or use the Service.

2. Description of Service

SayNicely is a testimonial management platform that allows users to collect, manage, and refine customer testimonials. Features include but are not limited to collection pages, moderation workflows, import/export tools, and AI-powered text polishing. We reserve the right to modify, suspend, or discontinue any part of the Service at any time without prior notice.

3. User Accounts

To use certain features of the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information during the registration process.
• Maintain the security of your password and accept all risks of unauthorized access to your account.
• Notify us immediately if you discover or otherwise suspect any security breaches related to the Service.
• Not share your account credentials or give others access to your account.

4. Subscriptions and Billing

Some parts of the Service are billed on a subscription basis ("Subscription(s)"). You will be billed in advance on a recurring and periodic basis ("Billing Cycle"). Billing cycles are set either on a monthly or annual basis, depending on the type of subscription plan you select when purchasing a Subscription.

Our order process is conducted by our online reseller Dodo Payments. Dodo Payments is the Merchant of Record for all our orders. They provide all customer service inquiries and handle returns.

A valid payment method is required to process your Subscription. By submitting payment information, you authorize Dodo Payments to charge all Subscription fees incurred through your account. All fees are exclusive of taxes, which will be calculated and charged by Dodo Payments based on your location.

At the end of each Billing Cycle, your Subscription will automatically renew under the exact same conditions unless you cancel it or we cancel it. You may cancel your Subscription renewal through your online account management page.

5. Content and Intellectual Property

Our Service allows you to post, link, store, share and otherwise make available certain information, text, graphics, videos, or other material ("Content"). You are responsible for the Content that you post to the Service, including its legality, reliability, and appropriateness.

By posting Content to the Service, you grant us the right and license to use, modify, publicly perform, publicly display, reproduce, and distribute such Content on and through the Service. You retain any and all of your rights to any Content you submit, post or display on or through the Service and you are responsible for protecting those rights.

The Service and its original content (excluding Content provided by users), features, and functionality are and will remain the exclusive property of SayNicely and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries.

6. AI Polishing Feature

Our AI polishing tool uses third-party artificial intelligence technologies to suggest improvements to testimonial text.

• The suggestions provided by the AI are for informational purposes only.
• We do not guarantee the accuracy, completeness, or usefulness of any AI-generated content.
• You are solely responsible for reviewing and approving any AI-generated edits before they are published.
• We are not liable for any errors or omissions in AI-generated content.

7. Prohibited Uses

You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service:

• In any way that violates any applicable national or international law or regulation.
• To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail", "chain letter," "spam," or any other similar solicitation.
• To impersonate or attempt to impersonate SayNicely, a SayNicely employee, another user, or any other person or entity.
• To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Service, or which, as determined by us, may harm SayNicely or users of the Service or expose them to liability.

8. Limitation of Liability

In no event shall SayNicely, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage.

9. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms. If you wish to terminate your account, you may simply discontinue using the Service or delete your account through the dashboard.

10. Governing Law

These Terms shall be governed and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
